Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Scrute's AI-powered title and survey reconciliation platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization.

Use of the Service

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for professional use by legal professionals and is not available to individuals who have been suspended or removed from the Service.

Account Registration

To use the Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service to transmit malicious code or viruses
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to compete with us or create a similar product

Your Content

Ownership

You retain all ownership rights to the documents, data, and other content you upload to the Service ("Your Content"). You are responsible for ensuring you have all necessary rights and permissions to upload and process Your Content through the Service.

License to Us

By uploading Your Content, you grant us a limited, non-exclusive license to process, analyze, and store Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.

Responsibility for Content

You are solely responsible for Your Content and the consequences of uploading it. You represent and warrant that Your Content does not violate any laws, infringe any third-party rights, or contain any confidential information that you are not authorized to share.

Intellectual Property

The Service and its original content, features, and functionality are owned by Scrute and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as incidental to normal use of the Service or as expressly permitted by these Terms.

Fees and Payment

Access to certain features of the Service may require payment of fees. By purchasing a subscription, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate and complete billing information
• Authorize us to charge your payment method on a recurring basis
• Accept responsibility for all charges incurred under your account

We reserve the right to change our fees at any time. If we change fees for a subscription service you are already using, we will provide you with reasonable advance notice.

Subscription and Cancellation

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period.

We do not provide refunds for partial months of service, prepaid fees, or unused features. We reserve the right to refuse or cancel service to anyone at any time for any reason.

Disclaimers and Limitations of Liability

No Legal Advice

The Service is a tool to assist with document review and analysis. It does not provide legal advice, and should not be used as a substitute for professional legal judgment. You are responsible for reviewing and verifying all output from the Service.

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCRUTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising out of or relating to the Service shall not exceed the amount you paid us in the 12 months prior to the event giving rise to the liability.

Indemnification

You agree to indemnify, defend, and hold harmless Scrute and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms.

Data Backup and Retention

While we implement backup systems, you are responsible for maintaining your own backup copies of Your Content. We are not responsible for any loss or corruption of Your Content, or for any costs or expenses associated with backing up or restoring Your Content.

Upon termination of your account, we may delete Your Content in accordance with our data retention policies. We recommend exporting Your Content before closing your account.

Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Changes to Terms

We may revise these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
